Dear Abbas,

My trip to China is the last action in terms of timing that I have
taken after the attached letter, duly approved by Atmel management,
was sent to Customers and to European Commission.

As I said I will be back on June, 9. After this date I will call you
in order to highlight my proposal.

During my 20 plus years at Atmel as Dirigente of Atmel Rousset Agrate
(I spent also 3 years in Rousset) and Dirigente and CEO of Atmel Roma
I have always performed well. In fact even in difficult situation the
last 2 projects shApes and hArtes have been concluded with success:
our "customer" European Commission will be satisfied and will pay the
remaining part of our cost statements.

Atmel has performed very well thanks to the outstanding support of Rod
Erin and to the passion of our Italian Employees.

We have done something that we believe can change the audio market,
provided that sufficient additional investments will be done.

My trip to China was necessary in order to deploy Atmel Roma as a
worldwide technology leader in the acoustic field.

I still consider myself as a "Dirigente" of Atmel even if Steve Laub
is the new CEO. I am honored of that.

After June 9, I will be in a position to tell you by when I will be
able to present my proposal. I would like to remind you that Euretile
will be an important part of my proposal.

Euretile was presented to European Commission by myself and by Pier
Stanislao Paolucci as directors of the board of Atmel Roma. Together
we had the power to do it.

Now there is a conflict of interest with Pier Stanislao Paolucci as
his interest is to exclude Atmel Roma from the project in order to get
himself (INFN) an additional important share of the project.

As Italian Tax Payer I have the right to avoid that, and I will by all means.

I do not understand the new position of Pier Stanislao Paolucci after
the decision of Atmel Roma CEO (Benedetto Altieri) approved by
Matthias Bopp and by Werner Brugger (and I suppose by Rod Erin). It
appears to me in contrast with the previous decision. You should have
had good reasons to reverse the previous decision.

I cannot present my offer to Atmel until the role of Pier Stanislao
Paolucci is clear to me as I can hardly accept that my proposal will
be somehow known by Pier Stanislao Paolucci.

Going back to my trip to China, I would like to stress that it has
been very important to position the role of the spin off.

I have had the opportunity to present the potential of Diopsis to
several potential investors and to:

1.    The President of FIAT, John Elkann.

2.    The President of Confindustria, Emma Marcegaglia.

3.    The CEO of Magneti Marelli, Eugenio Razelli.

4.    The "Sottosegretario di Stato", Aldo Brancher.

5.    The Employment Minister, Maurizio Sacconi.

All of them said they will support us.

You say:

Please do not worry. I am just taking the China opportunity (Missione
Economica Italia in China) to position our spin off with existing
potential partners in order to encourage them to take a quick decision
in line with your needs.

I would like also to stress that the role of Atmel, as Silicon Foundry
for Diopsis, is fundamental to the success of the spin off.

I would like to conclude my email with a phrase of Robin Saxby: "Sales
is an Art, not a Process."

I am trying hard to complete my piece of Art. I count on your help.

After my trip to China and the huge market potential, I am positive.

As this situation has been going on for too long, we need something
very concrete and detailed very soon. We think more in terms of weeks
than in terms of months.

It is certainly good to know that you are very active to find a
solution. At the same time it worries us that you speak to so many
parties, we fear it will take a lot of time until something may come
out.

We remind that you cannot speak for or on behalf of Atmel Roma. You
are not a member of the Board anymore.

Please be specifically prudent in your discussions with high level
state officials, do not damage Atmel's image or create the wrongful
impression that we have not adhered to all rules.

You should not disclose Atmel's company confidential information to
third parties without our explicit approval and appropriate NDA's. .

I would like to update you on the ongoing actions for the spin off of
Atmel Roma.

I am in China with an Italian delegation including:

1.     Several Entrepreneurs

2.     Ministero Sviluppo Economico (Ministry of Economic
Development). The Ministry who gave Atmel Roma a funding of 3,4
Million Euro.

3.     Confindustria. The Italian Association of the Italian Industry.

4.     ICE. Istituto Commercio Estero.

5.     Support of the Ministero Affari Esteri (Ministry of Foreign affairs)

The purpose of the Mission in China is to promote partnership between
Italian and Chinese Companies.

I have met Magneti Marelli CEO and their Chinese partners. I am going
to meet SMIC; Sonavox and other companies.

I had the opportunity to talk to the Italian Minister Maurizio Sacconi
and to a few people of Confindustria.

All of them promised that they will help me by all means to fix the
problem. They all understand that if the spin off fails we run the
risk of losing several jobs. They do not want this situation to
happen.

I told them that Atmel Corp is looking for a solid Company that can
support our MBO initiative.

Question: What is the Atmel Corp. deadline?

I am confident that with the help of important Italian Institutions I
can find a way out that is acceptable to Atmel.

From a technical point of view our solution is outstanding. We have
not been good enough into selling it.

All of them explained to me what we should have done that we did not.

I would like to know what is your deadline.

I will come back to Europe on June 9 and I will call you to update you
on the progresses I made.
